Terms of Service

These Terms of Service ("Terms") are an agreement between you and Prinsur Tech CO., LTD. (鈦溪科技股份有限公司), a company incorporated in Taiwan ("saidtrack", "we", "us"), governing your use of saidtrack.com and the saidtrack service (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance and eligibility

By using the Service you represent that you are at least 16 years old. If you are not yet an adult under the law of your place of residence (in Taiwan, 18 years old), you may use the Service only with the consent of your legal representative, and by using the Service you represent that such consent has been given. You also represent that you are not barred from using the Service under any applicable sanctions or export control laws.

2. The Service

saidtrack is an AI meeting copilot: it produces live transcripts of your meetings and generates summaries, in-meeting suggestions, and emotion signals oriented around the meeting objective you set. The Service is currently offered free of charge. We reserve the right to introduce paid plans in the future and will give you notice before any feature you use becomes paid. We may change, suspend, or discontinue any part of the Service.

3. Accounts

You sign in through our identity provider WorkOS, with a one-time code sent to your email or with your Google or GitHub account. You are responsible for safeguarding the email and third-party accounts you sign in with and for all activity under your account, and you agree to provide accurate account information. Notify us at support@prinsur.com if you suspect unauthorized use of your account.

The Service records and transcribes conversations. Laws on recording differ by place: many jurisdictions require the consent of every participant in a conversation (including a number of US states), and others require at least the consent of one party. You, not saidtrack, are the one in the room.

  • You are solely responsible for providing any notices to, and obtaining any consents from, all meeting participants in connection with any recording or transcription, as required under applicable law. A simple practice that satisfies most regimes: tell everyone at the start of the meeting that it is being transcribed, and proceed only if no one objects.
  • You represent and warrant that, for every meeting you record with the Service, you have provided all legally required notices and obtained all legally required consents from every participant. This warranty is backed by your indemnification obligations in section 13.
  • You must not use the Service to record a person who you know has not consented, or where recording is otherwise unlawful.

5. Voiceprint enrollment

Voiceprint enrollment is optional and exists solely so the Service can recognize your own speech in a meeting. You may enroll only your own voice. Enrolling, or attempting to enroll, the voice of any other person is prohibited. Completing the enrollment consent step constitutes your explicit consent to the processing of your voiceprint as described in the Privacy Policy, which also explains how to withdraw that consent and how the voiceprint is destroyed.

6. Your content and license to us

You retain all rights to the content you bring to the Service: your meeting audio, transcripts, meeting objectives, attached knowledge text, and the outputs generated for you (collectively, "Your Content"). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to the extent needed to provide and maintain the Service. We claim no other rights in Your Content, and this license ends when the content is deleted.

For files you attach as meeting knowledge, you represent that you have the right to provide them and that they do not contain third-party confidential information you are not permitted to share.

7. AI output disclaimer

Transcripts and AI-generated outputs (summaries, suggestions, emotion signals) can be inaccurate, incomplete, or biased. Emotion signals in particular are inferences drawn from the text of the conversation; they are not statements of fact about any person's mental or emotional state. Outputs are a starting point only. You must independently verify accuracy before relying on or sharing any output. Outputs are not legal, medical, financial, or human-resources advice, and you must not treat them as the sole basis for decisions in those domains.

8. Acceptable use

You agree not to:

  • use the Service for unlawful recording or surveillance, or to harass anyone;
  • upload or process content that infringes the rights of others;
  • probe, disable, or circumvent the Service's security, or access data that is not yours;
  • reverse engineer the Service except where the law grants that right;
  • resell the Service or offer it as a bureau service without our agreement;
  • scrape the Service or access it with automated means outside the product; or
  • use the Service or its outputs to develop a competing transcription or meeting AI model.

9. Intellectual property

The Service, including its software, design, and branding, belongs to Prinsur Tech CO., LTD. and its licensors. If you send us feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.

10. Privacy

Our Privacy Policy describes how we handle personal data, including meeting audio, transcripts, and voiceprints, and forms part of these Terms.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that transcripts or outputs will be accurate, that the Service will be uninterrupted or error-free, or that any specific availability level will be met.

12. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the greater of the amounts you paid us in the 12 months before the event giving rise to the claim, or USD 100. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Nothing in this section excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intent or gross negligence, or the mandatory consumer protections of the place where you reside.

13. Indemnification

You will defend and indemnify Prinsur Tech CO., LTD. against third-party claims and resulting damages and reasonable costs arising from: (a) recordings made without legally required notice or consent of meeting participants, or other unlawful use of the Service by you; (b) your breach of these Terms; or (c) Your Content infringing the rights of a third party.

14. Termination

You may stop using the Service and delete your account at any time in settings. We may suspend or terminate your access if you materially breach these Terms or if we discontinue the Service. Upon termination, your data is handled as described in the retention section of the Privacy Policy. Sections 6 (license during any retention period), 7, 9, 11, 12, 13, 16, and 17 survive termination.

15. Changes to these Terms

We may update these Terms. For material changes we will give notice in the product before the new terms take effect, together with the effective date. If you continue using the Service after the effective date, the updated Terms apply; if you do not agree, stop using the Service and delete your account.

16. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of China (Taiwan). The parties agree that the Taiwan Taipei District Court is the court of first instance with jurisdiction over disputes arising from these Terms. Nothing in this section deprives you of mandatory consumer protections, or of rights to bring claims in the courts, of the place where you reside.

17. Miscellaneous

If a provision of these Terms is held unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets with notice to you. These Terms and the documents they reference are the entire agreement between you and us about the Service. These Terms are drafted in English and translated into Traditional Chinese for convenience; the English version controls to the extent permitted by law, and mandatory consumer protections under the laws of your place of residence are unaffected.
